Disney has not bought Character.AI as a whole. Character Technologies, Inc., the platform’s operator, filed for Chapter 11 bankruptcy on October 12, 2026, and named Disney Worldwide Services, Inc. as the stalking-horse purchaser for specified assets under a proposed $20 million transaction. The proposed license still depends on the sale process and court approval. The debtor’s bidding-procedures motion sets out the terms; the court order schedules the next hearing. NeoTeo’s earlier report on the proposed license covered the initial bid; the court papers add the payment breakdown and procedural dates.

The proposed $20 million payment

The agreement separates a payment made before the bankruptcy filing from the balance that would be due if Disney wins the sale process and the transaction closes. The $2 million refundable deposit is part of the $7.5 million prepetition payment, not an additional amount.

Payment componentAmountCondition
Total proposed consideration$20 millionSubject to bidding, closing conditions and court approval
Paid before the bankruptcy filing$7.5 millionIncludes the refundable $2 million deposit
Refundable deposit$2 millionIncluded in the $7.5 million; refundable under the agreement’s terms
Remaining consideration$12.5 millionConditional on Disney winning and the transaction closing

The proposal came after Character Technologies reported financial pressure in its October 13 bankruptcy declaration. The company said it was losing about $8 million to $9 million per month as of August 2026 and had spent $56.1 million on computing from January 1 through August 31. Those are figures reported by the debtor. Readers following the wider business side of technology can also find financial coverage at NTV88.

What Disney would license, and who would retain liabilities

The proposed deal calls for a perpetual, worldwide, non-exclusive license to specified intellectual property and related technology. WIRED reported on October 19 that the listed Disney target assets exclude Character.AI’s website and user data. That description applies to Disney’s proposed asset package.

The debtor’s motion says Disney would not assume Character Technologies’ liabilities and that the company would retain them. This is a proposed transaction term, not a court ruling. The motion also seeks approval for a sale free and clear of claims. Oregon’s Department of Justice said on October 14 that a coalition of states had reserved the right to challenge a sale or bankruptcy plan and was seeking safeguards for consumers’ personal information.

Disney has also hired most of Character Technologies’ workforce, according to the motion. Under the proposed transition-services arrangement, some employees would assist Character Technologies’ operations for up to five months after September 18, 2026.

Court dates and proposed sale milestones

The court set October 23, 2026, at 4 p.m. ET as the deadline to object to the bidding-procedures motion, and October 30 at 10 a.m. ET for a hearing on that motion. The entered order establishes those two dates.

Later milestones appear in the debtor’s proposal, not in that order: bids were proposed for November 20 at 5 p.m. ET, an auction for November 23, and a sale hearing for November 24, subject to court availability. The agreement sets December 17, 2026, as the outside date for closing unless the parties agree otherwise in writing. The debtor’s motion describes those proposed dates.

Character Technologies says it will wind down the platform if no actionable bid allows continued operations. The company’s declaration describes the sale process as a path to preserving continued service; it does not set a shutdown date. The bankruptcy declaration states that condition.

How to request a Character.AI data export

Character.AI’s Help Center gives separate export paths for the website and app. On the website, go to Profile → Profile Settings → Account → Manage Account & Data → Export Data. In the app, go to Profile → Settings → Legal & Privacy → Export Data.

Character.AI says processing can take three to four weeks. The download link sent by email remains valid for seven days. The Help Center’s export instructions include both paths and timing.
