A report published Oct. 27 by The San Francisco Standard reproduces an Anthropic S-1 footnote that describes Ben Mann as a cofounder but excludes him from the filing’s Founder LLC and Continuing Founder group. The passage says he will not participate in deciding how Class F common stock is voted.
The governance question is separate from the question of Anthropic’s potential IPO valuation. NeoTeo previously covered uncertainty around a potential IPO valuation.
What the reported S-1 says about Ben Mann
The footnote describes Mann as integral to Anthropic since its founding in January 2021 and says he is often called a cofounder. It then sets out a narrower category for the prospectus: Mann is not a member of Founder LLC and will not be a Continuing Founder upon completion of the offering.
The San Francisco Standard reports that the seven-person Founder LLC and Continuing Founder group would jointly control more than 50.1% of shareholder voting power. Class F common stock is a share class whose votes are covered by the footnote. Mann would not participate in determining how those shares are voted.
Why Anthropic still calls Mann a cofounder
Anthropic’s public description of Mann can coexist with the prospectus’s governance category. The company’s spokesperson told The San Francisco Standard that Mann’s role had not changed and that it remains fair to call him a cofounder. Anthropic also described Mann as a cofounder in its Oct. 14, 2026 announcement of its first Singapore office.
University of Colorado Law School professor Ann Lipton said “founder” is a colloquial label, not itself a legal term. She suggested Mann may not have wanted a public-facing governance role, but presented that only as a possibility. Lipton also said Mann may retain economic rights; the voting provisions concern his governance role.
