Oracle completed both parts of its $20 billion financing on November 4, 2026: a $10 billion common-stock offering and a separate $10 billion senior-notes issuance. Oracle’s Form 8-K says the stock offering closed and the notes were issued that day.
The stock sale and notes each raised $10 billion gross
Oracle announced pricing on November 2. The stock offering covered 86,206,897 shares at $116 per share. Oracle estimated net proceeds of about $9.9 billion from the shares and about $10.0 billion from the notes, after underwriting discounts and estimated offering expenses. Adding those two estimates gives approximately $19.9 billion net. Oracle’s pricing announcement gives the share terms and proceeds estimates.
The $20 billion headline therefore includes both equity and debt. The share sale brought in capital by issuing common stock; the notes are the debt portion, with $10 billion in principal.
Five fixed-rate notes mature from 2029 through 2046
Oracle’s Form 8-K lists five fixed-rate note tranches. A coupon is the stated annual interest rate applied to a note’s principal.
| Maturity | Principal | Annual coupon |
| 2029 | $2.00 billion | 7.000% |
| 2031 | $1.75 billion | 7.450% |
| 2033 | $2.25 billion | 7.850% |
| 2037 | $2.50 billion | 8.000% |
| 2046 | $1.50 billion | 8.650% |
Applying each coupon rate to its tranche’s principal produces an estimated $776.75 million in annual coupon payments across the five issues. That is a calculation from the stated principal and rates, not Oracle’s reported accounting interest expense.
Oracle listed several possible uses for the proceeds
Oracle said it would use the proceeds for general corporate purposes. Its list includes capital expenditures, debt repayment, future investments or acquisitions, dividends and common-stock repurchases. The announcement does not assign specific amounts to those uses.
Market and borrowing figures provide dated context
On November 3, 24/7 Wall St. reported Oracle shares at $125.81 in morning trading, up 6% from the previous session’s $119.22 close. The report also noted same-session gains for CoreWeave and Microsoft; the snapshot came a day before Oracle reported closing the offerings.
Reuters reported that Oracle had $125.34 billion in notes payable and other borrowings as of August 31, alongside $67.36 billion in revenue for fiscal 2026. The first figure is a borrowing balance and the second is revenue for a fiscal year. For another view of Oracle’s cash position, see NeoTeo’s earlier report on its Q1 FY2027 free cash flow.
