Oracle said each offering was expected to close on Nov. 4, subject to customary conditions, and that either could close independently.

The notes are unsecured senior obligations of Oracle Corporation. The prospectus says they rank equally with the company’s other unsecured, unsubordinated debt and are effectively subordinated to liabilities of Oracle subsidiaries and to secured debt. Oracle’s prospectus supplement also reported $236.1 billion in consolidated liabilities, including $125.3 billion in senior unsecured borrowings, as of Aug. 31, 2026. Oracle described the proceeds as general corporate funding

Oracle said proceeds could support general corporate purposes, including capital expenditures, debt repayment, investments or acquisitions, dividends, and share repurchases. Reuters reported that Oracle had committed to seeking no more than $20 billion in additional AI financing through fiscal 2030; CNBC reported that this offering matched the amount outlined at an investor event. Oracle’s stated uses for the proceeds remain broad.
